Terms of Service

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Cirrus Inc. ("Company," "we," "our," or "us") governing your access to and use of EasyChroma, including our website, applications, and video processing services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Service Description

EasyChroma provides cloud-based video processing services, including but not limited to:

  • Video enhancement and upscaling using MIRAGE technology
  • Video format conversion and optimization
  • Project management for video assets
  • API access for programmatic video processing

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must:

  • Use a strong, unique password
  • Enable multi-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Not share your account credentials with others

Account Restrictions

You may not create multiple accounts, use another person's account, or transfer your account to another person without our written consent.

Acceptable Use Policy

You agree not to use the Service to:

  • Upload, process, or distribute content that infringes intellectual property rights
  • Process illegal content, including child sexual abuse material (CSAM)
  • Distribute malware, viruses, or other harmful code
  • Engage in unauthorized access to our systems or other users' accounts
  • Circumvent usage limits, rate limits, or access controls
  • Use automated systems to access the Service without our express permission
  • Resell, redistribute, or sublicense the Service without authorization
  • Process content that promotes violence, hatred, or discrimination
  • Violate any applicable laws or regulations

We reserve the right to investigate violations and may suspend or terminate accounts that violate these policies without prior notice.

User Content

Ownership

You retain all ownership rights to the video content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to process, store, and transmit that content solely for the purpose of providing the Service to you.

Responsibility

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to the content
  • The content does not infringe any third-party rights
  • The content complies with all applicable laws
  • The content does not violate our Acceptable Use Policy

Content Removal

We may remove or disable access to User Content that violates these Terms or applicable law. We will make reasonable efforts to notify you before or after such removal, except where prohibited by law or where notification could compromise safety or security.

Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by Cirrus Inc. and is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used without our prior written consent. Nothing in these Terms grants you any right to use our intellectual property.

The MIRAGE processing technology and algorithms are proprietary and confidential. You may not attempt to reverse engineer, decompile, or derive the source code of any software provided as part of the Service.

Payment Terms

Pricing

Certain features of the Service require payment. Current pricing is displayed on our website and in your account dashboard. Prices are subject to change with 30 days' notice.

Billing

By providing payment information, you authorize us to charge your payment method for all fees incurred. Subscriptions are billed in advance on a recurring basis (monthly or annually). Usage-based charges are billed in arrears.

Refunds

Subscription fees are generally non-refundable, except as required by law. If you believe you have been incorrectly charged, please contact us within 30 days of the charge.

Failed Payments

If payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your access to paid features may be suspended until payment is resolved.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance to address security or stability issues
  • Factors beyond our reasonable control (natural disasters, network outages, etc.)

We are not liable for any loss or damage resulting from Service unavailability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRRUS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Any other intangible losses

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Cirrus Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

DMCA and Copyright Policy

We respect intellectual property rights and expect our users to do the same. If you believe that content on our Service infringes your copyright, please submit a DMCA takedown notice containing:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material to be removed with sufficient detail to locate it
  • Your contact information (address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate

Repeat infringers may have their accounts terminated.

Termination

By You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service will immediately cease.

By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with or without notice.

Effect of Termination

Upon termination, we may delete your account data, including User Content. We recommend downloading any content you wish to retain before terminating. Provisions of these Terms that by their nature should survive termination will survive.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we may provide additional notice via email or in-app notification.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
